Terms of Service

1 Acceptance of These Terms

These Terms of Service ("Terms") form an agreement between you and Xero Smart Enterprises, which operates the Posttools service.

By creating a Posttools account, accessing the Franchise Management Portal, purchasing a subscription or otherwise using the service, you agree to be bound by these Terms.

You should not use Posttools if you do not agree to these Terms.

These Terms should be read together with our:

• Privacy Policy
• Refund & Cancellation Policy
• Cookie Policy

2 About Posttools

Posttools provides software tools intended to assist India Post franchise operators and franchise outlets with administrative and operational activities.

Depending on the features available to your account, these tools may include:

• Customer and sender management
• Postal article booking preparation
• Sender and receiver data management
• Postal booking file preparation
• Excel, PDF, receipt and label generation
• International postage calculations
• Post office or PIN-code related tools
• Subscription and account management
• Other franchise management utilities introduced from time to time

3 Independent Service and India Post

References to India Post, postal products, postal services, article formats, tariffs, APIs or related terminology are used where necessary to provide software functionality relevant to franchise operators.

The actual acceptance, processing, transmission, delivery, tracking, customs treatment or rejection of a postal article remains subject to the applicable systems, requirements, decisions and services of India Post and other relevant authorities.

Use of Posttools does not guarantee that an article, booking file, declaration or other submission will be accepted by India Post or another external system.

4 Eligibility

Posttools franchise accounts are intended for legitimate India Post franchise operators or franchise outlets.

You must be at least 18 years of age to create or control a Posttools account.

By registering, you represent that the information provided about you and your franchise is accurate and that you have the authority to register and use the service for that franchise.

Posttools may request reasonable information or verification where necessary to confirm account eligibility, prevent misuse or meet applicable requirements.

5 Account Registration and Security

You are responsible for providing accurate, current and complete registration information.

You are also responsible for maintaining the security of your registered mobile number, authentication credentials, devices and access to your Posttools account.

You must not knowingly provide OTPs, authentication tokens or other confidential authentication information to an unauthorised person.

You should notify Posttools promptly if you believe your account has been accessed without authorisation.

6 Staff and Employee Access

A registered franchise operator may permit its authorised employees or staff to use Posttools for legitimate franchise operations.

The registered franchise operator remains responsible for activity performed through its account by its employees, staff or other persons to whom it knowingly provides access.

Access should only be provided to persons who require it for legitimate franchise operations.

The franchise operator is responsible for withdrawing access when a staff member is no longer authorised to use the service.

Posttools accounts must not be publicly shared, sold, rented or provided to unrelated businesses as a shared software account.

7 Franchise Operator Responsibilities

The franchise operator is responsible for the information entered, uploaded, generated, reviewed and submitted through Posttools.

This includes responsibility for verifying, where applicable:

• Sender names and addresses
• Receiver names and addresses
• Mobile numbers and contact details
• PIN codes and destination information
• Article numbers
• Article type and postal product
• Physical and charged weights
• Declared values
• Customs information
• HS codes and descriptions
• Tax or customs references
• Booking references and transaction information
• Any other information required for a postal transaction

The franchise operator is responsible for obtaining customer information lawfully and providing any required notices or obtaining any required consent or authorisation.

8 Generated Files, Labels, Receipts and Postal Data

Posttools may generate or prepare Excel files, PDFs, labels, receipts, booking data, reports or other documents based on information provided by the user or obtained from available systems.

You are responsible for reviewing generated information before using, printing, uploading or submitting it.

External systems may change file formats, validation requirements, postal rules, tariffs or technical specifications.

Posttools does not guarantee that every file or document generated by the service will be accepted by every external system at all times.

9 Subscriptions and Plans

Some Posttools functionality may require an active paid subscription.

Subscription plans may differ in price, billing interval, available features, limits, promotional benefits or other conditions.

The applicable plan details displayed at the time of purchase form part of the subscription arrangement.

Access to paid functionality may be limited or disabled when a subscription expires, becomes unpaid, is cancelled or otherwise ceases to be active.

10 Changes to Plans and Pricing

Posttools may introduce, modify or discontinue subscription plans, pricing, limits or features as the service evolves.

Where a price changes, the new price will normally apply to a future purchase or renewal rather than retroactively changing the price of an already-paid subscription period.

Features may also change because of technical requirements, external API changes, postal-system changes, security requirements or product development.

Where a material change affects an active paid service, Posttools will handle the situation reasonably and in accordance with applicable terms and law.

11 Payments

Subscription and other eligible payments may be processed through Razorpay or another payment provider made available by Posttools.

Payment processing may be subject to the payment provider's terms, systems and security procedures.

You are responsible for providing valid payment information and ensuring that you are authorised to use the selected payment method.

Refunds and cancellations are governed by our Refund & Cancellation Policy .

12 Third-Party Services and APIs

Posttools may rely on or interact with third-party services to provide certain functionality.

These may include:

• India Post-related APIs or systems
• PIN-code or postal-data services
• Postal tariff services
• Razorpay
• Fast2SMS
• Email providers
• Hosting and infrastructure providers
• Other technical services necessary for operation of Posttools

Third-party services are outside the direct control of Posttools and may experience downtime, errors, changes, restrictions or discontinuation.

Posttools may modify or temporarily disable affected functionality where a third-party dependency is unavailable or changes its service.

13 Service Availability and Maintenance

We aim to keep Posttools reasonably available, but uninterrupted or error-free operation cannot be guaranteed.

Posttools may temporarily restrict or suspend all or part of the service for:

• Scheduled maintenance
• Emergency maintenance
• Security updates
• Software upgrades
• Server or infrastructure issues
• India Post API or system outages
• Payment-provider outages
• SMS or email-provider outages
• Network or internet failures
• Legal, regulatory or security requirements
• Circumstances outside our reasonable control

Where reasonably practical, we will work to restore affected services.

14 Prohibited Use

You must not use Posttools to:

• Commit or facilitate fraud or unlawful activity
• Submit information you know to be false or fraudulent
• Access another user's account without authorisation
• Attempt to bypass authentication, subscription restrictions or security controls
• Probe, attack, overload or intentionally disrupt the service
• Introduce malicious code or harmful software
• Reverse engineer or attempt to obtain protected source code except where such restriction is prohibited by applicable law
• Scrape or automatically extract substantial data without permission
• Resell, rent or commercially share your Posttools account with unrelated businesses without written permission
• Infringe the rights of Posttools, customers, third parties or other users
• Use Posttools in a manner that violates applicable law or postal requirements

15 Suspension and Termination

Posttools may restrict, suspend or terminate an account or particular functionality where reasonably necessary because of:

• Non-payment or subscription expiry
• Material violation of these Terms
• Fraud or suspected fraud
• Illegal activity
• Security threats
• Unauthorised access
• Abuse of the service
• Attempts to damage or bypass Posttools systems
• Unauthorised resale or sharing of access
• Legal or regulatory requirements

Where appropriate and reasonably practical, Posttools may provide notice or an opportunity to resolve a violation.

Immediate action may be taken where necessary to protect users, data, systems, third parties or Posttools from significant harm or security risk.

16 Intellectual Property

Posttools and its software, interface, original design elements, source code, documentation, branding and original materials are owned by Xero Smart Enterprises or used under applicable rights.

Subject to these Terms and an applicable subscription, Posttools grants you a limited, non-exclusive, non-transferable right to use the service for legitimate franchise operations.

This does not transfer ownership of the Posttools software or intellectual property to you.

Third-party names, trademarks and materials remain the property of their respective owners.

17 User and Customer Data

You retain responsibility for data that you lawfully submit to Posttools.

You grant Posttools permission to process that data as reasonably necessary to provide, secure, maintain and support the service and to comply with applicable requirements.

Your personal data and related privacy matters are handled according to our Privacy Policy .

18 No Guarantee of Postal Outcome

Posttools assists with software processes but does not control the physical postal network.

Posttools therefore does not guarantee:

• Acceptance of an article by India Post
• Delivery within a particular time
• Successful customs clearance
• Accuracy of external tracking systems
• Availability of a particular postal service
• Acceptance of generated files by an external system after that system changes its requirements
• Decisions made by India Post, customs, government authorities or another third party

19 Limitation of Liability

To the extent permitted by applicable law, Posttools and Xero Smart Enterprises will not be responsible for indirect, consequential, incidental or special losses arising from use of or inability to use the service.

Without limiting the above, Posttools is not responsible for loss arising solely from:

• Incorrect or incomplete information entered by a user
• Failure by the user to review generated files or booking information
• India Post rejecting or delaying a booking or article
• Customs or government decisions
• Changes to external postal systems
• Third-party API failures or outages
• Bank or payment-network outages
• Internet, device or network failures outside Posttools' reasonable control
• Unauthorised access caused by a user knowingly sharing credentials or authentication information

Nothing in these Terms excludes or limits liability, rights or remedies that cannot lawfully be excluded or limited under applicable law.

20 Service Provided on an "As Available" Basis

Subject to applicable law, Posttools is provided on an "as available" basis.

We work to maintain reliable and useful software, but we do not guarantee that every feature will always be uninterrupted, error-free or compatible with every external system.

Software, postal requirements and third-party systems may change over time, and updates may be required to maintain compatibility.

21 Force Majeure and Events Outside Our Control

Posttools will not be responsible for a failure or delay caused by circumstances outside its reasonable control.

These circumstances may include major internet or telecommunications failures, data-centre failures, natural disasters, governmental actions, widespread cyber incidents, third-party infrastructure failures or similar events.

22 Changes to the Service

Posttools may improve, update, replace, modify or discontinue individual features from time to time.

Changes may be made for technical, security, operational, legal, commercial or compatibility reasons.

Where Posttools permanently stops an active paid service, the applicable resolution will be handled according to our Refund & Cancellation Policy and applicable law.

23 Changes to These Terms

We may update these Terms when the Posttools service, subscription model, technology, legal requirements or business operations change.

The current version will display its Last Updated date.

Where a material change requires additional notice under applicable law or materially affects an existing contractual arrangement, Posttools will take reasonable steps to provide the required notice or obtain any required agreement.

24 Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

25 No Waiver

If Posttools does not immediately enforce a provision of these Terms, that does not automatically mean that Posttools has waived its right to enforce that provision later.

26 Governing Law and Jurisdiction

These Terms are governed by the laws applicable in India.

Subject to any rights or forums that cannot lawfully be excluded, disputes arising from or relating to these Terms or the Posttools service will be subject to the jurisdiction of the competent courts at Jaipur, Rajasthan, India.
